Law Commission announces review of directors' duties

The law of directors' duties in New Zealand has diverged significantly from other jurisdictions, including Australia and the UK, in recent years. The Law Commission’s recently announced review of the law is timely, as is its recognition that the current law is “unclear and difficult to apply” and “may discourage directors from taking legitimate business risks”.
